Nominee shareholder arrangements are permitted in Gibraltar under the Companies Act 2014. This can be useful where the identity of the beneficial ownership of the company may require protection due to commercial or other sensitivities.
As Licenced Trust and Company Managers, the Acquarius Group can hold the legal title of shares through Acquarius Management Services Limited (AMSL) on bare trust, or nominee agreement for the benefit of the owners of the business. The shares are registered with Companies House in the name of AMSL and AMSL will then sign a deed of Trust in favour of the beneficial owners of the company.
The bare trust that is created is the most simple trust and the beneficial owner of the shares retains entitlement to those shares without discretion.
